1.1 In these Terms of Use, the following definitions apply unless the context otherwise requires:
"Portal" means the Millioner Brand Protection & Asset Integrity Portal, accessible at millioner-support.site and all sub-pages thereof.
"Operator" means the Millioner Intellectual Property Compliance Division, operating on behalf of Millioner.com and its affiliated entities.
"User" means any individual or entity that accesses or uses the Portal, whether or not they submit any information or report through the Portal.
"Intellectual Property Rights" means all patents, trademarks, service marks, trade names, domain names, rights in get-up, rights in goodwill, rights to sue for passing off, rights in designs, copyright and related rights, database rights, moral rights, rights in confidential information (including know-how and trade secrets), and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.
"Millioner Brand Assets" means all trademarks, service marks, logos, trade dress, brand guidelines, visual identity systems, and other proprietary brand materials associated with Millioner.com, as more particularly described in the IP Rights Registry.
"Report" means any submission made through the Violation Reporting Centre or by direct correspondence to the Operator's contact channels.
1.2 References to a person include natural persons, corporate or unincorporated bodies, and their successors and assigns. References to legislation include any amendment, re-enactment, or subordinate legislation made thereunder.
2.1 By accessing, browsing, or using the Portal in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use in their entirety. Your continued use of the Portal following any modification to these Terms constitutes your acceptance of the modified Terms.
2.2 If you are accessing the Portal on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and that your agreement to these Terms constitutes the agreement of that organisation.
2.3 The Operator reserves the right to modify these Terms at any time without prior notice. The date of the most recent revision is indicated at the top of this document. Users are responsible for reviewing these Terms periodically to remain informed of any changes.
3.1 The Portal is operated exclusively for the purposes of intellectual property compliance, brand protection, and the facilitation of legitimate enforcement activities relating to the Millioner brand and its associated intellectual property estate. The Portal is intended to serve as an informational resource and a channel for the submission of violation reports by members of the public, legal professionals, and other stakeholders.
3.2 You may access and use the Portal solely for the following permitted purposes: (a) obtaining information about Millioner's intellectual property rights and enforcement posture; (b) verifying the authenticity of communications or digital assets purporting to originate from Millioner; (c) submitting good-faith reports of suspected intellectual property violations; and (d) contacting the Operator's compliance team for legitimate legal or compliance enquiries.
3.3 Any use of the Portal that is not expressly permitted by these Terms is strictly prohibited. Prohibited uses include, without limitation: (a) accessing the Portal for any unlawful purpose; (b) submitting false, misleading, or malicious reports; (c) attempting to circumvent any security measures or access controls; (d) scraping, harvesting, or systematically downloading Portal content; (e) using the Portal in any manner that could damage, disable, or impair its operation; and (f) using the Portal to facilitate or promote any activity that infringes Millioner's intellectual property rights.
4.1 All content published on the Portal, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the exclusive property of the Operator or its licensors and is protected by applicable intellectual property laws, including copyright, trademark, and database rights.
4.2 No content from the Portal may be reproduced, distributed, transmitted, displayed, published, or broadcast in any form or by any means without the prior written consent of the Operator, except as expressly permitted by these Terms or by applicable law.
4.3 The Millioner name, logo, and all related marks, logos, and trade names are registered trademarks of Millioner.com. Nothing in these Terms or on the Portal shall be construed as granting any licence or right to use any trademark, service mark, or trade name of Millioner without the prior written consent of the Operator.
4.4 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Portal for the permitted purposes described in Section 3. This licence does not include the right to: (a) modify or copy the Portal's content; (b) use the content for any commercial purpose; (c) attempt to decompile or reverse engineer any software contained on the Portal; (d) remove any copyright or other proprietary notations; or (e) transfer the content to another person or "mirror" the content on any other server.
4.5 The Operator reserves all rights not expressly granted in these Terms. Any unauthorised use of the Portal's content or the Millioner Brand Assets will constitute an infringement of the Operator's intellectual property rights and may result in civil and criminal liability.
5.1 By submitting a Report through the Portal, you represent and warrant that: (a) you are the owner of the intellectual property rights alleged to have been infringed, or are authorised to act on behalf of the rights owner; (b) the information provided in the Report is accurate and complete to the best of your knowledge and belief; (c) you have a good-faith belief that the use of the material described in the Report is not authorised by the rights owner, its agent, or the law; and (d) you understand that the submission of a false or materially misleading Report may expose you to civil and criminal liability, including claims for damages and costs.
5.2 The Operator reserves the right to reject, disregard, or take no action in respect of any Report that, in the Operator's reasonable assessment, is frivolous, vexatious, malicious, or otherwise submitted in bad faith. The Operator further reserves the right to refer any person who submits a false or malicious Report to the appropriate legal authorities.
5.3 The submission of a Report does not create an attorney-client relationship between the submitter and the Operator or any of its legal advisers. The Operator's response to a Report, or its decision to take or not take enforcement action, does not constitute legal advice and should not be relied upon as such.
6.1 The Operator takes all reasonable steps to ensure that the information published on the Portal is accurate, current, and complete at the time of publication. However, the Portal is provided on an "as is" and "as available" basis, and the Operator makes no representations or warranties, express or implied, regarding the accuracy, completeness, reliability, suitability, or availability of the Portal or the information contained therein.
6.2 The intellectual property registry information published on the Portal is provided for informational purposes only and does not constitute a certified or official record of any intellectual property registration. Users requiring certified copies of trademark or copyright registrations should obtain them directly from the relevant intellectual property office.
6.3 The Operator reserves the right to update, modify, or remove any content from the Portal at any time without notice. The Operator shall not be liable for any loss or damage arising from any reliance placed on information published on the Portal.
6.4 The Portal may contain links to third-party websites. These links are provided for informational purposes only and do not constitute an endorsement by the Operator of those websites or their content. The Operator has no control over the content of linked third-party websites and accepts no responsibility for them or for any loss or damage that may arise from your use of them.
7.1 To the fullest extent permitted by applicable law, the Operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Portal, even if the Operator has been advised of the possibility of such damages.
7.2 The Operator's total aggregate liability to you in respect of any claims arising out of or in connection with these Terms or your use of the Portal shall not exceed the greater of (a) the amount paid by you to the Operator in the twelve months preceding the claim (which, in the case of a free portal, shall be nil) or (b) one hundred euros (€100).
7.3 Nothing in these Terms shall limit or exclude the Operator's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
8.1 These Terms of Use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
8.2 Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).
8.3 Notwithstanding the foregoing, the Operator reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of the Operator's intellectual property rights or other proprietary rights.
9.1 Entire Agreement. These Terms, together with the Privacy Policy and any other legal notices published on the Portal, constitute the entire agreement between you and the Operator with respect to your use of the Portal and supersede all prior agreements, representations, and understandings.
9.2 Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
9.3 Waiver. The Operator's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver shall be effective unless made in writing and signed by an authorised representative of the Operator.
9.4 Assignment. You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of the Operator. The Operator may assign or transfer its rights and obligations under these Terms without restriction.
